As part of a complex merger and acquisition (M&A) transaction, a leading global services company was faced with the challenge of assessing a large portfolio of software contracts from multiple technology vendors from both a legal and commercial perspective, while integrating them into the new organisational structure.Praetorian Consulting was engaged as an independent advisor to support this process over a period of more than 24 months.

The Challenge

The transaction required a comprehensive review of a large portfolio of software contracts across multiple technology vendors. Many of these agreements had evolved over years and reflected different software licensing, contractual and organisational structures.

The core challenge was to establish legal certainty for the acquired software portfolio while securing commercially optimal conditions for the newly formed organisation throughout the M&A process.

The Praetorian Approach

The Praetorian team systematically reviewed every software contract to identify software licensing risks and common challenges associated with contract transfers—particularly change-of-control clauses, termination rights, licensing metrics and compliance requirements. Based on this assessment, a clear recommendation was developed for each technology vendor:

  • Termination: Contracts with no strategic value or commercially unfavourable terms were identified and terminated.
  • Renegotiation: Where contracts needed to be transferred, Praetorian led the vendor negotiations to secure legally robust and commercially optimal terms for the new organisation.
  • New Procurement: Based on a detailed requirements analysis, any missing software licences were procured under the best possible commercial conditions

A particular focus was placed on integrating all software contracts into the acquiring organisation's governance and compliance framework. Group-wide procurement policies, IT standards and internal approval processes were consistently taken into account throughout the project.
